The Ontario Not-for-Profit Corporations Act (ONCA) replaced the Ontario Corporations Act on October 19, 2021. The purpose of ONCA is to modernize how not-for-profit corporations are created, operated, governed and dissolved. ONCA, 2010 came into force October 19, 2021, and was amended effective October 1, 2023.
ONCA updates the rules for not-for-profit corporations in Ontario. The Ontario government expects that ONCA will do the following:
- simplify the incorporation process;
- clarify rules of governance;
- clarify whether not-for-profits can earn a profit through commercial activities;
- allow some corporations to use a review engagement, instead of an audit; and
- enhance members’ rights.
Even if the CCA did not change its by-laws, ONCA would govern us. Thus, changes were made to ensure that the CCA by-laws follow the new legislation. To begin, the CCA used a presentation from the Federation of Citizens Associations on how to begin. The CCA President then went through all of the by-laws with support from resources provided by Nonprofit Law Ontario. The CCA Board went through each of the different parts of ONCA and rewrote the by-laws accordingly. Then, Judith Shane from LAC & Associates Consulting was asked to review our changes. She gave us a written report on additional things to consider. Now that those have been added, we feel ready to present the revised by-laws to our membership.
